Terms of Service

1. Acceptance of Terms

By accessing or using BreedTools ("the Service"), operated by BreedTools LLC, a Florida limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

BreedTools is a web-based breeding management platform that allows dog breeders to track dogs, litters, puppy weights, health records, buyer pipelines, finances, temperament testing, and related breeding activities. The Service includes free and paid subscription tiers.

3. Account Registration

  • You must be at least 18 years old to create an account.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Payment

  • Free Plan: Limited features as described on our pricing page. No credit card required.
  • Pro Plan: $9/month or $79/year. Includes expanded features as described on our pricing page.
  • Premium Plus Plan: $19/month or $159/year. Includes all features including team collaboration.
  • All payments are processed securely by Stripe. We do not store your credit card information.
  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • You may cancel your subscription at any time through Settings > Billing. Cancellation takes effect at the end of the current billing period.
  • We do not provide refunds for partial monthly billing periods. If you cancel mid-cycle, you retain access until the end of the paid period.
  • Annual plan refunds: If you purchase an annual plan and request a refund within 14 days of purchase, we will issue a full refund. After 14 days, annual plans are non-refundable but you retain access until the end of the paid year.
  • We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.

5. Your Data and Content

  • Ownership: You retain all rights to the data and content you upload to the Service (dog records, photos, health data, buyer information, etc.).
  • License: By uploading content, you grant us a limited license to store, process, and display your content as necessary to provide the Service. This includes displaying content on public pages you choose to enable.
  • Public pages: If you enable public breeder profiles or litter pages, the content you designate as public will be accessible to anyone on the internet. You are solely responsible for what you choose to make public.
  • Backups: While we maintain backups of our database, you are responsible for maintaining your own copies of important data. You can export your data at any time from Settings > Data Export.
  • Deletion: If you delete your account, we will delete your data within 30 days, except where retention is required by law.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload false, misleading, or fraudulent information.
  • Impersonate any person or entity.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use automated tools, bots, or scrapers to access the Service without our written permission.
  • Upload malicious files, viruses, or harmful code.
  • Use the Service to spam, harass, or abuse other users or third parties.
  • Resell or redistribute the Service without our written consent.
  • Use the Service to facilitate puppy mills, animal neglect, or any practice that violates animal welfare laws.
  • Misrepresent the health, lineage, or registration status of any animal listed on the platform.
  • Use the Service to facilitate fraudulent puppy sales or buyer transactions.

7. Buyer Applications and Public Forms

  • The buyer application feature allows prospective buyers to submit inquiries to breeders through BreedTools-hosted forms.
  • BreedTools acts solely as a platform facilitating communication between breeders and buyers. We are not a party to any sale, transaction, or agreement between breeders and buyers.
  • Breeders are solely responsible for screening buyers, negotiating terms, and fulfilling agreements.
  • We do not guarantee the accuracy of buyer-submitted information.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

BreedTools is a management tool, not a veterinary or medical service. Health tracking features (vaccination schedules, weight curves, progesterone tracking) are for informational purposes only and do not constitute veterinary advice. Always consult a licensed veterinarian for medical decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, BREEDTOOLS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless BreedTools LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Intellectual Property

The Service, including its design, code, features, and branding, is owned by BreedTools LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

12. Termination

  • You may terminate your account at any time by contacting us or through account settings.
  • We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law.
  • Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
